CORVERNA PROVIDES THIRD-PARTY PRESENCE DOCUMENTATION ONLY. IT DOES NOT VERIFY IDENTITY, ENSURE ACCURACY, OR GUARANTEE LEGAL ADMISSIBILITY. USE OF THIS SERVICE EXPLICITLY ACKNOWLEDGES AND AGREES TO THIS LIMITATION.

1. Introduction

Welcome to Corverna ("Company", "we", "our", "us"). These Terms of Service ("Terms", "Terms of Service") govern your use of our website and services operated by Corverna.

Our services provide third-party observation and documentation through independent contractors. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.

2. Scope of Services

Corverna provides a platform that connects users with independent contractors who document the presence of people, items, or actions at specific locations and times. Our services include:

• Dispatching independent contractors to document situations through photos, videos, and written observations
• Providing timestamped, GPS-tagged documentation
• Delivering observation reports through our secure platform

Important Limitations: Corverna does not:

• Provide legal services, legal advice, or legal representation
• Notarize or certify documents
• Guarantee the legal admissibility of documentation in any proceeding
• Verify the identity of individuals
• Guarantee the truthfulness or accuracy of observed events
• Conduct surveillance, investigations, or tracking
• Engage in confrontation or intervention in disputes
• Constitute an investigation, legal verification, or notarial act

The service does not constitute an investigation, legal verification, or notarial act. The client assumes full responsibility for any use of the information provided.

3. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information when booking services
• Use our services only for lawful purposes
• Not use our services for harassment, stalking, or any illegal activities
• Respect the privacy and rights of others
• Not request our contractors to engage in any illegal, unethical, or dangerous activities
• Pay all applicable fees for services rendered
• Provide clear instructions and necessary permissions for property access
• Assume full responsibility for any use of the information provided

4. Independent Contractors

All observation services are performed by independent contractors, not employees of Corverna. These contractors:

• Are independent service providers who set their own schedules and accept jobs at their discretion
• Are not authorized to make legal determinations or provide legal advice
• Document only what they can observe without intervention or judgment
• May decline any job for any reason
• Are prohibited from entering private property without proper authorization
• Do not make judgments, verify identities, or represent Corverna in any legal capacity

Corverna conducts background checks on contractors but makes no guarantees regarding contractor conduct beyond our platform policies.

5. Prohibited Uses

You may not use our services for:

• Harassment, stalking, intimidation, surveillance, or any illegal activity
• Surveillance or tracking of individuals without proper legal authorization
• Any illegal activities or purposes
• Gathering evidence for use in custody disputes without proper legal authorization
• Invading privacy or violating the rights of others
• Creating false or misleading documentation
• Impersonating others or misrepresenting your identity or authority
• Political activities, protests, or demonstrations
• Recording children or private residences without explicit and verifiable written consent
• Using Corverna as a substitute for legal process, law enforcement, or private investigations
• Providing details to any third party with the goal of unlawful coercion or any other criminal or civil wrong

Corverna reserves the right to refuse service to anyone for any reason, particularly if we believe the requested service would violate these prohibitions.

6. Pricing and Payment

Pricing for our services varies based on location, time of day, urgency, and complexity. You will be shown the exact price before confirming any booking. Payment terms include:

• All payments must be made through our approved payment methods
• Payment is due at the time of booking
• Refunds may be issued for cancellations made at least 2 hours before the scheduled service
• No refunds will be issued for completed services, regardless of the outcome or your satisfaction with the documentation
• Additional fees may apply for rush services, extended documentation time, or special requests

7. Documentation and Deliverables

Upon completion of a service, you will receive:

• Timestamped, GPS-tagged photos and/or videos as requested
• Brief written observations from the contractor
• Any custom documentation specified in your booking instructions

Media Storage: Corverna stores documentation for up to 30 days post-delivery, unless an extended term is agreed upon. Responsibility for safekeeping fully passes to the client upon delivery. After this period, all media and associated data will be permanently deleted from Corverna's systems. Corverna is not responsible for data loss during this period, or thereafter.

Important Limitations:

• We do not guarantee that documentation will capture everything you need
• We do not guarantee that documentation will be admissible in any legal proceeding
• We do not guarantee that documentation will be interpreted in your favor by any third party
• We do not authenticate or certify the documentation beyond confirming it was created by our contractor

8. Privacy and Data Handling

We take privacy seriously. Our handling of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our data practices as described in the Privacy Policy.

Key privacy points include:

• We collect only the information necessary to provide our services
• Documentation is delivered securely and then purged from our systems unless retention is specifically requested
• We encrypt all data transfers
• We do not sell your personal information to third parties

9. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Corverna and is protected by copyright and other intellectual property laws.

Regarding documentation created through our services:

• You receive a license to use the documentation for your intended purpose
• You may not modify, reproduce, or distribute the documentation beyond your personal use without our written permission
• You may not use our documentation for commercial purposes without our explicit consent
• You may not remove any watermarks, timestamps, or identifying information from the documentation

10. Limitation of Liability

To the maximum extent permitted by law, Corverna and its officers, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any conduct or content of any third party on our service
• Unauthorized access, use, or alteration of your transmissions or content
• The actions or inactions of our independent contractors
• The interpretation or use of documentation by you or any third party
• Any other matter relating to our services
• The accuracy, completeness, or suitability of the provided documentation for any specific purpose
• Any losses, damages, or legal ramifications arising from the use or reliance on our services, or the use of the documents in litigation

Our total liability for any claim arising from or relating to these Terms or our services shall not exceed the amount you paid for the specific service giving rise to the claim, or the average order price, whichever is less. This limitation applies even where Corverna employees were negligent to a significant degree.

11. Indemnification

You agree to defend, indemnify, and hold harmless Corverna, its officers, directors, employees, and contractors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of our services
• Your violation of any rights of another person or entity
• Your use of documentation in a manner not permitted by these Terms
• Any claim arising out of the end use or handling of the photos
• Any third-party harms caused by customers

12. Geographic Limitations

Corverna is not available in jurisdictions where presence-verification services require licensure, certification, or specific regulatory approval. It is the user's sole responsibility to ensure compliance with all applicable local, state, and federal laws and regulations.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in Delaware County, Delaware, under the rules of the American Arbitration Association (AAA). The parties agree to submit to the exclusive jurisdiction and venue of the AAA in Delaware County for the resolution of any such disputes.

14. "As Is" and "As Available" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. CORVERNA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Corverna makes no warranty that the service will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or that the results that may be obtained from the use of the service will be accurate or reliable.

15. Termination

Corverna may terminate or suspend your access to the service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

No refunds will be provided for any prepaid but unused services in the event of termination due to your violation of these Terms.

16. Changes to Terms

We reserve the right to modify these Terms at any time without notice. Changes will be posted on our website with an updated "Last Updated" date. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

Changes to these Terms may be communicated through website banners, email notifications, or in-app notifications, but we are not obligated to provide specific notice of changes. It is your responsibility to check these Terms periodically for changes.
